1. Acceptance of Terms

By accessing or using the Service, you confirm that you are of legal age to form a binding contract with Product2Clip or have obtained parental or guardian consent.

If you are using the Service on behalf of an organization, you confirm that you have the necessary authority to do so and that the organization accepts these Terms.

You may not use the Service and may not accept the Terms if you are not legally permitted to receive or use the Service under the laws of Germany, your country of residence, or the country from which you access or use the Service.

2. Description of Product2Clip

Product2Clip is a service for creating short product videos and social-media clips from product pages, product data, images, and user instructions. The Service includes:

a. Account and authentication: You may register, sign in, and manage your account.

b. Product parsing: The Service may fetch product URLs and analyze structured data, Open Graph data, images, prices, descriptions, and similar product information.

c. AI-assisted proposals: Product2Clip may generate scenes, copy, hooks, editing ideas, and other proposals with the help of AI and third-party services.

d. Editing and rendering: You may edit proposals and render, download, or otherwise use videos server-side or in the browser.

e. Integrations: Product2Clip may be used through plugins, APIs, or other integrations, including WordPress/WooCommerce.

3. Account, API Keys, and Security

To access certain features, you may need to create an account or authenticate. You agree to provide accurate, current, and complete information and to update it as needed.

You are responsible for securing your email account, Product2Clip account, shop administration accounts, and API keys. Please report unauthorized access or suspected misuse immediately.

API keys must not be publicly shared, committed to public repositories, or made available to unauthorized third parties. Product2Clip may suspend, rotate, or reset API keys where required for security or because of a breach of these Terms.

Product2Clip may suspend, terminate, or restrict your account or access at any time for cause, including breach of these Terms, misuse, security risks, or legal requirements.

4. Content, Rights, and Ownership

You may provide or import product URLs, product information, images, copy, prompts, editing instructions, and other content ("User Content"). The Service may generate proposals, scenes, text, videos, previews, and other outputs from that material ("Results").

a. Your rights in User Content: You represent that you have all rights necessary to use User Content with the Service, including rights to images, product copy, trademarks, logos, and shop data. Your User Content must not infringe third-party rights.

b. Use by Product2Clip: You grant Product2Clip the rights to store, process, reproduce, modify, and transmit User Content as necessary to provide the Service, generate Results, provide support, prevent misuse, comply with security and legal requirements, and improve the Service.

c. Results: To the extent permitted by law and subject to third-party rights in source materials, you may use Results generated by you for your own business purposes. Product2Clip does not warrant that Results are free from third-party rights or suitable for any particular purpose.

d. Storage: We do not guarantee that User Content, proposals, renders, or downloads will be stored permanently or remain available after a session ends.

5. Acceptable Use

You agree not to use the Service for illegal or unauthorized purposes. In particular, you must not:

• perform significant automated load testing, scraping, or crawling without prior written consent;
• infringe copyright, trademark, or other third-party rights;
• use product data, images, or other content for which you do not have sufficient rights;
• interfere with, circumvent, manipulate, overload, or bypass security measures of the Service;
• distribute viruses, malware, phishing, harmful content, or other abusive material;
• manipulate AI systems through prompt injection, jailbreaking, or attempts to extract confidential information;
• resell, rent, or offer the Service as a competing service without permission.

6. Fees, Payment, and Refunds

Access to the Service may be free or paid in whole or in part. Fees, limits, credits, subscriptions, or usage-based charges are displayed in the Service or at the time of purchase.

Product2Clip may change prices, limits, features, payment options, and usage rules for the future at any time. Paid services already purchased remain unaffected except where mandatory law provides otherwise.

Monthly included clips are granted per billing period and do not carry over. Optional extra clip credits are prepaid digital service credits, are consumed only after the monthly allowance is exhausted, remain bound to the respective organization account, and are not transferable. Free extra credits granted by Product2Clip have no cash value and may be adjusted or revoked in case of mistakes, misuse, or support corrections.

Unless otherwise stated or required by law, consumed credits, started renders, API usage, and other services already performed are non-refundable.

7. AI-Generated Content and Third-Party Services

Product descriptions, scenes, copy, variants, and other Results may be generated with the help of AI and third-party services. Results are not pre-reviewed, may vary, and may be inaccurate, incomplete, unsuitable, or legally problematic.

You are responsible for reviewing Results before publishing, downloading, or using them, including for accuracy, third-party rights, trademarks, advertising claims, prices, product promises, and legal requirements.

Where we use third-party providers, such as for AI, hosting, email, storage, rendering, or payments, their terms and policies may apply to the underlying processing. We are not responsible for the availability, conduct, or policies of those third parties.

8. Disclaimer of Warranty; Availability

The Service is provided "as is" and "as available" to the fullest extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that Results will meet your expectations.

Product2Clip may modify, suspend, discontinue, or restrict the Service or any feature at any time. Credits, limits, or feature availability may be affected by such changes except where mandatory law provides otherwise.

9. Liability

Product2Clip shall be liable under these Terms only in accordance with the provisions below:

Product2Clip shall be unrestrictedly liable for losses caused intentionally or with gross negligence. Product2Clip shall also be unrestrictedly liable for death, personal injury, or damage to health caused by intent or negligence.

Product2Clip shall be liable in accordance with the German Product Liability Act where applicable.

In cases of simple negligence, Product2Clip shall be liable only for breach of essential contractual obligations, limited to the foreseeable, contract-typical damage at the time of contract conclusion. Essential contractual obligations are obligations whose fulfilment is necessary for proper performance of the contract and on whose compliance you may regularly rely.

Any more extensive liability is excluded. Strict liability for defects already present at the time of conclusion of the contract is expressly excluded to the extent permitted by law.

Product2Clip shall be liable for loss of data only up to the amount of typical recovery costs that would have arisen had proper and regular data backup measures been taken.

10. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold Product2Clip, its licensors, service providers, and partners harmless from claims made by third parties arising from or relating to your breach of these Terms, your use of the Service, your violation of applicable law, or content you provide.

11. Contract Duration and Termination

The contract constituted by these Terms runs for an indefinite period.

The contract may be terminated by either party at any time with immediate effect. The right to terminate for cause remains unaffected.

You agree that your access to your account may be terminated or restricted without prior notice where there is a breach of these Terms, misuse, security risk, or legal reason.

12. Privacy

Your use of Product2Clip is also governed by our Privacy Policy, which can be found on our website.

13. Intellectual Property and Take-Down on Notice

Our trademarks: The name "Product2Clip", associated logos, and other marks used in connection with the Service are the intellectual property of Product2Clip, lepaga GmbH, or their licensors. You may not use these marks without our prior written permission except to refer to the Service in a non-misleading way.

Third-party trademarks: Product data, User Content, and AI-generated Results may contain trademarks, logos, product names, or other third-party rights. Product2Clip does not endorse or assume responsibility for such content. You are responsible for ensuring your use does not infringe third-party rights.

Take-down on notice: If you are a rights holder and believe that content on the Service infringes your rights, please notify us with sufficient detail to identify the content and the basis for your claim through our Imprint or by email to info@lepaga.com with the subject line "IP Notice". We will review notices in good faith and may remove or disable access to content.

14. Final Provisions

Product2Clip may change these Terms or other information about the Service, including offered features, from time to time. Changes will be made available in the Service or on the website. If you do not agree to the changes, you must stop using the Service.

Product2Clip generally communicates with you via email unless indicated otherwise by these Terms. You must ensure that you regularly check the email account specified at registration.

These Terms constitute the entire agreement between you and Product2Clip regarding the Service. You may not assign your rights or obligations under these Terms without consent; Product2Clip may assign its rights and obligations.

The laws of the Federal Republic of Germany shall apply. The UN Convention on Contracts for the International Sale of Goods (CISG) shall be excluded. The place of jurisdiction for disputes arising from or in connection with these Terms or the Service shall, where permitted, be the registered seat of lepaga GmbH. Mandatory consumer protection provisions of your country of residence remain unaffected.

Should any provision of these Terms be or become invalid, this shall not affect the validity of the remaining provisions. The parties shall replace the invalid provision with a valid provision that most closely approximates the economic purpose. The same applies in case of a gap.
